Rules of the Board of Directors

Special rules of order, as defined by Robert’s Rules of Order, are rules that supplement or modify the parliamentary rules contained in the parliamentary authority adopted by an organization. Special rules of order are adopted by the Board of Directors individually if and when the need arises. A special rule of order can be adopted by a two-thirds majority vote of the Board and although such a rule remains in effect until rescinded or amended, it is not binding if a two-thirds majority desires to suspend it temporarily.

Standing rules, as defined by Robert’s Rules of Order, are rules related to the details of the administration of the District rather than to parliamentary procedure. Standing rules are adopted by the Board of Directors individually if and when the need arises. A standing rule can be adopted by a majority vote of the Board and although such a rule remains in effect until rescinded or amended, it is not binding if a majority desires to suspend it temporarily.
